Welcome to www.getclerkly.com (“the Site”), operated by Clerkly (“we,” “us,” or “our”). By accessing or using the Site, or purchasing any of our services or subscriptions, you agree to be bound by the following Terms & Conditions. If you do not agree to these terms, you may not use the Site or our services.

1. Eligibility and Acceptance

1.1 Eligibility
Clerkly services are primarily intended for users in the United States. Use of the Site from other jurisdictions is at your own risk, and you are responsible for compliance with local laws.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use this Site and our services. By using the Site, you confirm that you meet these requirements.

1.2 Acceptance of Terms
These Terms apply to all site visitors, customers, and users. Your continued use of the Site constitutes your acceptance of these Terms, as well as any future updates.

2. Website Use

2.1 Intellectual Property
All content on the Site—including text, images, logos, branding, and design elements—is the intellectual property of Clerkly and may not be copied, modified, or reused without prior written permission.

2.2 Third-Party Links
The Site may contain links to third-party websites. We are not responsible for the content or privacy policies of those sites and do not endorse or assume any responsibility for their services.

2.3 Availability of the Site
We strive to keep the Site accessible and functional but do not guarantee uninterrupted service. We reserve the right to suspend or terminate access without notice for maintenance, upgrades, or other reasons.

3. Services

3.1 Scope of Services
Clerkly provides asynchronous executive support services, which may include but are not limited to:

  • Inbox triage

  • Calendar management

  • Administrative task execution

  • One-off services (e.g., phone calls, strategy sessions)
    Details, limits, and deliverables are listed in the product or subscription descriptions at the time of purchase.

3.2 Service Modifications
We reserve the right to update, change, or discontinue any service at any time without notice.

3.3 Turnaround Times

Clerkly operates on a three-day delivery rhythm: Monday, Wednesday, and Friday. Most tasks are completed within 2–5 business days from the time of full submission, depending on complexity and queue volume.

Turnaround estimates are not guarantees and may be delayed if tasks lack sufficient detail, require clarification, or if access credentials are missing.

Priority turnaround is not currently available through any subscription or add-on.

4. Subscriptions & One-Time Services

4.1 Billing
Subscriptions renew automatically every 30 days. By purchasing, you authorize recurring charges until you cancel. You may cancel at any time before your next billing date to avoid future charges.

4.2 Refund Policy
We do not offer partial or prorated refunds. One-time services are non-refundable once work has started. Strategy sessions may be rescheduled once; missed or late appointments are not refunded.One-time services are non-refundable once work has begun, defined as the receipt of credentials, kickoff communication, or visible work progress, whichever occurs first.

4.3 Payment Failures
If a payment fails, we will retry for up to 3 days. After two failed attempts, your service may be paused or terminated.

4.4 Taxes
Applicable taxes are included in our listed prices unless stated otherwise. We reserve the right to modify this policy if legally required.

5. Client Conduct

5.1 Respectful Communication
We expect professional and respectful behavior in all communications. We reserve the right to suspend or terminate services for harassment, abusive language, or boundary violations, with no refund issued.

5.2 Contact Method
Our services are designed for asynchronous communication. Phone calls or live meetings must be purchased separately unless otherwise included in your plan. Live services such as calls or meetings require advance purchase and scheduling. These services are subject to availability and may be declined at our discretion.

5.3 Hours of Operation
Business hours are Monday through Friday, 8:00 AM – 4:00 PM CST. We are closed on U.S. federal holidays. Inquiries outside business hours may have delayed responses.
5.4 Service Satisfaction

If you experience an issue with your service, notify us in writing within 3 business days of discovery. We’ll make reasonable efforts to resolve the issue. If no resolution is reached, either party may terminate the service at the end of the current billing cycle. Refunds are not issued for partially used time unless explicitly agreed upon in writing.

6. Confidentiality & Data Security

6.1 Secure Credential Handling
Access credentials must be submitted via approved, encrypted tools (such as 1Password). We do not store sensitive information on unsecured systems.

6.2 Client Responsibility
You are responsible for keeping any shared passwords or access methods secure. We are not liable for unauthorized access resulting from your negligence.

7. Custom Projects & Quotes

7.1 Custom Work
For automation or support beyond our standard services, we may issue a custom quote. Work will not begin without written approval and pre-payment.

8. Disclaimer of Guarantees

We do not guarantee specific results from any service. All services are provided “as is” and used at your own risk. You are responsible for how our work impacts your business operations.
We do not offer warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Modifications to Terms

We may update these Terms & Conditions at any time. Updates will be posted on this page with a new “Effective Date.” Your continued use of the Site or our services constitutes acceptance of the revised Terms.
